1. Who We Are

These Terms and Conditions govern access to and use of the Notus platform, including all digital guides, modules, lessons, downloadable materials and consultations (the “Services”).

Notus is operated by Notus Strategy Ltd, a business registered in Scotland (“Notus”, “we”, “us”, or “our”).

By purchasing or accessing the Services, you agree to be bound by these Terms.

2. Eligibility and Account Use

  • You must be at least 18 years old to purchase the Services.

  • You are responsible for maintaining the confidentiality of your account login details.

  • Access is personal to you and must not be shared.

  • We reserve the right to suspend or terminate accounts that breach these Terms.

3. Description of Services

Notus provides structured digital strategy guides consisting of modules and lessons designed for educational purposes.

Certain plans may include consultation sessions delivered remotely.

The Services are educational in nature and do not constitute legal, financial, investment or regulated professional advice.

4. Commercial Use

The Services are designed for business and commercial application. However:

  • You may not resell, sublicense or redistribute the content.

  • You may not reproduce the materials for training third parties without prior written consent.

  • Internal business use is permitted.

5. Intellectual Property

All content, materials, frameworks, text, branding and methodology remain the intellectual property of Notus.

You are granted a limited, non-transferable licence to access and use the Services for your own business purposes.

You may not:

  • Copy or distribute content publicly

  • Republish or commercially exploit materials

  • Create derivative products based on Notus content

6. Pricing and Payment

  • All prices are stated in GBP and inclusive of VAT where applicable.

  • Payment must be made in full prior to access.

  • Payments are processed securely via third-party providers (e.g., Stripe).

  • We do not store payment details.

A contract is formed when payment is successfully processed.

7. Digital Content and Cooling-Off Period

Under the Consumer Contracts Regulations 2013:

If you are purchasing as a consumer, you have a 14-day cooling-off period.

However, by purchasing and accessing the digital content immediately, you:

  • Expressly consent to immediate access, and

  • Acknowledge that you lose your right to cancel once access has begun.

This consent is obtained at checkout.

8. Refunds

Unless required by law:

  • Digital content purchases are non-refundable once access has been granted.

  • Consultation sessions may be rescheduled with reasonable notice.

  • Missed sessions without notice may be forfeited.

9. Consultations

Where consultations are included:

  • Sessions are delivered remotely.

  • They are advisory in nature.

  • They do not create a consulting retainer or ongoing advisory obligation.

Notus does not guarantee specific business outcomes.

10. No Guarantee of Results

The Services provide structured strategic guidance.

We do not warrant or guarantee:

  • Revenue growth

  • Business performance improvements

  • Commercial success

Outcomes depend on your application and external factors beyond our control.

11. Platform Availability

We aim to ensure continuous access but do not guarantee uninterrupted availability.

We may:

  • Suspend access for maintenance

  • Update or modify content

  • Improve or restructure materials

We are not liable for temporary service interruptions.

12. Limitation of Liability

To the fullest extent permitted under Scottish law:

Notus shall not be liable for:

  • Loss of profits

  • Loss of business

  • Loss of anticipated savings

  • Indirect or consequential losses

Nothing in these Terms excludes liability for:

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded under Scots law

13. Data Protection

We process personal data in accordance with:

  • UK GDPR

  • Data Protection Act 2018

14. Termination

We may suspend or terminate access if you:

  • Breach these Terms

  • Share account access

  • Infringe intellectual property rights

Termination does not entitle you to a refund unless required by law.

15. Changes to Terms

We may update these Terms from time to time.

Continued use of the Services constitutes acceptance of any updated Terms.

16. Governing Law

These Terms are governed by the laws of United Kingdom.

Any disputes shall be subject to the exclusive jurisdiction of the UK’s courts.
